CONTRACT TO SELL
KNOW ALL MEN BY THESE PRESENTS:
This Contract to Sell made and entered in the City/Province of __________ on the ___ day of ____ 202_, by and between:
(SELLER'S COMPLETE NAME), legal age, (Civil Status), Filipino, and a resident of _______________________, Philippines, hereinafter referred to as the FIRST PARTY/SELLER;
-and-
(BUYER'S COMPLETE NAME), of legal age, (Civil Status), Filipino and resident of _______________________, Philippines, hereinafter referred to as the SECOND PARTY/BUYER;
(Any party can be represented by a third party provided he/she is duly authorized in writing through a special power of attorney.)
W I T N E S S E T H :
That the FIRST PARTY is the owner of a parcel of land known as:
Original (or Transfer) Certificate of Title No. _________
“A parcel of land _______(as described in the Certificate of Title ) ________________. Containing an area of ______(in words)_________________ (__in figures__)"
The FIRST PARTY is offering to sell, transfer and convey his rights and interests in the above-described parcel of land and the SECOND PARTY is willing to buy the rights and interests of the FIRST PARTY in the above-described parcel of land;
NOW THEREFORE, for and in consideration of the sum of the total sum of ______________________________ (P____________.00), Philippine Currency, payable in the manner as herein provided, and the covenants and agreements herein provided, the FIRST PARTY/SELLER hereby agrees to sell, transfer, assign and convey to the SECOND PARTY/BUYER, the ________ SQUARE METERS more or less, portion of the above-described parcel of land and/or whatever or any rights and interests of which the FIRST PARTY/SELLER is entitled to over the above-mentioned subject parcel of land to the following terms and conditions:
- The total consideration is in the amount of ONE MILLION AND FIVE HUNDRED THOUSAND PESOS (P1,500,000.00) Philippine currency, to be paid in the following manner: (a) That the parties agree that the SECOND PARTY/BUYER shall pay ONE MILLION PESOS (P1, 000,000.00) Philippine currency, upon signing of this document; (b) That the parties agree that the SECOND PARTY/BUYER shall pay the balance of FIVE HUNDRED THOUSAND PESOS (P500,000.00), Philippine Currency, within two years after the signing of this document;
- The FIRST PARTY shall deliver and transfer possession in favor of the SECOND PARTY the above-described parcel of land belonging to the FIRST PARTY after the payment of P1,000,000.00;
- That the FIRST PARTY shall execute a deed of absolute sale upon full payment of the purchase price or upon the approval of the subdivision plan and the issuance of a separate title, whichever comes first, and if necessary the herein contract to sell shall be sufficient and deemed to be an absolute deed of sale upon full payment of the purchase price; and
- That the SECOND PARTY/BUYER agree to shoulder all the expenses incurred in connection with the transfer of Title in the name of the SECOND PARTY/BUYER.
